1. General Terms & Definitions
These Terms of Service (the “Terms”) govern the business relationship between Wanda Chemical (“Wanda”, “we”, “us”) and international B2B clients (“Client”, “you”) purchasing PMSQ/Polymethylsilsesquioxane light diffusion agents, silicone resin powders, and PTFE micro powders.
Key Definitions
- ODM: Original Design Manufacturing with Wanda‑provided formulations or grades.
- OEM/Custom: Manufacturing according to Client’s specifications and targets (e.g., haze, transmittance, ΔE, particle size, form).
- MOQ: Minimum Order Quantity. Unless otherwise agreed, MOQ is 100 kg.
- Lead Time: Standard 3–7 days for common grades after payment confirmation and paperwork.
- Incoterms: International Commercial Terms (e.g., FOB, EXW, CIF, DDP for samples) as agreed in the purchase order.
2. Products, Specifications & Customization
2.1 Scope. Wanda supplies PMSQ/Polymethylsilsesquioxane light diffusion agents, silicone resin powders, and PTFE micro powders for use in resins including PC, PMMA, PS, AS, PP, and ABS. Forms include masterbatch, liquid, and powder.
2.2 Specifications. Client specifications (e.g., haze %, total transmittance %, ΔE/Duv limits, particle size distribution D10/D50/D90, recommended dosage, processing window, packaging) must be agreed in writing (quotation, data sheet, PO, or technical appendix). For custom projects, Wanda will provide proposed targets and test plans.
2.3 Samples & Validation. Upon request, Wanda provides samples and documentation (e.g., data sheets, MSDS, RoHS/REACH declarations). Client is responsible for validating suitability in its own processes and applications.
2.4 Changes. Wanda may improve formulations, documentation, or packaging for quality, safety, or regulatory reasons. Material changes impacting function will be communicated in advance where practical.
3. Pricing, Quotations & Payment Terms
3.1 Quotations. Quotes are valid for the period stated (typically 7-15 days) and subject to raw‑material, energy, and logistics fluctuations.
3.2 Payment. Standard terms are T/T 30% deposit, 70% before shipment. For large orders, L/C may be accepted upon approval. Samples may be payable via T/T or other mutually agreed methods. All bank charges outside Wanda’s bank are borne by Client.
3.3 Taxes & Duties. Prices are exclusive of VAT/GST, import duties, and other taxes unless explicitly stated. Client is responsible for all import clearances and duties at destination.
4. Quality Control, Compliance & Warranty
4.1 Quality Standards. Wanda manufactures under internal quality procedures and inspects to AQL levels agreed in writing. Typical tests may include haze/transmittance (ASTM/ISO), color metrics (ΔE, Duv), yellowing index, thermal/UV aging, particle size distribution, and visual/cosmetic checks.
4.2 Compliance. Upon request, Wanda provides MSDS/REACH declarations and available third‑party reports. Additional certifications or customer‑specified tests can be arranged at cost.
4.3 Limited Warranty. Wanda warrants that products will conform to the agreed specifications at shipment. Exclusive remedy: replacement or refund of the FOB value of non‑conforming goods, at Wanda’s option, provided claims are made within 30 days of delivery with supporting evidence.
4.4 Exclusions. No warranty for misuse, improper storage, processing outside recommended windows, contamination, or modifications by Client. Fitness for a particular purpose must be validated by Client in its end use.
5. Shipping, Delivery & Risk of Loss
5.1 Shipping Terms. Standard Incoterm is FOB (e.g., Shenzhen/Shanghai/Ningbo); EXW/CIF/DDP (samples) may be agreed separately.
5.2 Lead Times. Typical timelines: samples as agreed; common grades 3–7 days; custom projects per schedule after specification sign‑off. Peak seasons or force majeure may extend timelines.
5.3 Documents. Shipments include Commercial Invoice, Packing List, Bill of Lading/AWB, Certificate of Origin (if required) and available compliance certificates. Additional documents may be provided at cost.
5.4 Risk & Title. Risk transfers per agreed Incoterms. Title transfers upon full payment unless otherwise stated.
6. Intellectual Property & Confidentiality
6.1 Client IP. Client retains ownership of its designs, trademarks, and confidential specifications. Wanda will not disclose Client’s proprietary information except to personnel and subcontractors bound by confidentiality and only as needed to perform the order.
6.2 Wanda IP. Wanda’s formulations, data sheets, technical notes, and branding are Wanda’s intellectual property. No license is granted except as necessary to use purchased products.
6.3 Feedback. Suggestions or feedback provided by Client may be used by Wanda to improve products and services without obligation, unless otherwise agreed in writing.
7. Use Restrictions & Safety
7.1 Intended Use. Products are intended for industrial and commercial applications. They are not intended for medical, implant, or life‑support uses unless expressly agreed and validated.
7.2 Compliance by Client. Client is responsible for ensuring products meet local regulations in finished goods, including chemical and product safety requirements.
7.3 Handling & Storage. Follow Wanda’s MSDS and storage guidelines (e.g., moisture‑proof, sealed, shaded at room temperature). Improper handling may void warranty.
8. Returns, RMA & Claims
8.1 RMA Procedure. Prior written authorization is required for returns. Client must provide batch numbers, photos, test data, and a description of the issue.
8.2 Inspection. Wanda may request retained samples or third‑party inspection. If non‑conformance is confirmed, Wanda will refund or replace as per Section 4.3; otherwise, costs may be charged to Client.
9. Limitation of Liability
To the maximum extent permitted by law, Wanda shall not be liable for indirect, incidental, punitive, special, or consequential damages (including lost profits, production downtime, or recall costs). Wanda’s aggregate liability is limited to the amount paid for the specific goods giving rise to the claim.
10. Anti‑Bribery, Trade Compliance & Sanctions
Client and Wanda shall comply with applicable anti‑bribery, anti‑corruption, export control, and sanctions laws. Wanda may refuse, suspend, or cancel orders where fulfilling them would breach such laws or related internal policies.
11. Force Majeure
Neither party is liable for delay or non‑performance due to events beyond reasonable control, including natural disasters, epidemics, war, government actions, labor disputes, power shortages, or transportation disruptions. Affected party shall notify the other party promptly and resume performance when feasible.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Hong Kong SAR (without regard to conflict‑of‑laws rules). Any dispute shall be finally resolved by arbitration at HKIAC in Hong Kong, in English, by one or more arbitrators under HKIAC rules. Judgment on the award may be entered in any court of competent jurisdiction.
13. Changes to Terms
Wanda may update these Terms from time to time. The version posted on the website at the time of quotation or order confirmation will apply to that transaction unless otherwise agreed in writing.
